Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Connect Studio NW Ltd (Company Number: 10559497) ("WorkWise", "we", "us", "our") regarding your use of the WorkWise call answering service.

By accessing or using our service, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the service.

2. Description of service

WorkWise provides professional call answering and message taking services for tradespeople and businesses. Our services include:

Telephone answering in your business name
Message taking and forwarding
Appointment scheduling
Call handling per your instructions
Online portal access
Web dashboard availability

3. Account registration

3.1 Eligibility

To use our service, you must:

  • Be at least 18 years old
  • Be legally capable of entering into binding contracts
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

3.2 Account security

You are responsible for maintaining the confidentiality of your account and password. You agree to notify us immediately of any unauthorised use of your account.

4. Service plans and pricing

4.1 Subscription plans

Our service is offered on a monthly subscription basis with various plans based on included minutes. Current pricing is displayed on our website and may be updated with 30 days' notice.

4.2 Overage charges

Minutes used beyond your plan allowance will be charged at the per-minute rate specified for your plan. Overage charges are billed with your next monthly invoice.

5. Payment terms

5.1 Billing

  • Subscription fees are billed monthly in advance
  • Overage charges are billed monthly in arrears
  • All prices are in GBP and exclude VAT unless stated otherwise
  • Payment is due within 14 days of invoice date

5.2 Payment methods

We accept payment by credit card, debit card, and direct debit. You authorise us to charge your selected payment method for all fees due under these Terms.

5.3 Late payment

Late payments may incur interest at 8% above the Bank of England base rate. We reserve the right to suspend service for accounts more than 30 days overdue.

6. Use of service

6.1 Acceptable use

You agree to use our service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the service for any illegal or unauthorised purpose
  • Violate any laws in your jurisdiction
  • Transmit any harmful or malicious content
  • Harass, abuse, or harm our staff or other users
  • Attempt to gain unauthorised access to our systems
  • Use the service in a way that could damage our reputation

6.2 Call handling instructions

You are responsible for providing clear and lawful call handling instructions. We will follow your instructions but reserve the right to refuse instructions that are illegal, unethical, or could harm our staff.

7. Service level and limitations

7.1 Service availability

We aim to answer 99.7% of calls within 20 seconds. While we strive for 24/7/365 availability, we cannot guarantee uninterrupted service due to factors beyond our control.

7.2 Force majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.

8. Intellectual property

8.1 Our property

The WorkWise service, including all content, features, and functionality, is owned by Connect Studio NW Ltd and is protected by UK and international copyright, trademark, and other intellectual property laws.

8.2 Your content

You retain ownership of any content you provide to us. By using our service, you grant us a licence to use, store, and process your content as necessary to provide the service.

9. Confidentiality

We acknowledge that we may receive confidential information through our provision of services. We agree to maintain the confidentiality of such information and not disclose it to third parties except as required by law or with your consent.

10. Data protection

Our collection and use of personal data is governed by our Privacy Policy. By using our service, you consent to such processing and warrant that all data provided by you is accurate.

11. Indemnification

You agree to indemnify and hold harmless Connect Studio NW Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the service or violation of these Terms.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability to you shall not exceed the amount paid by you in the preceding 12 months
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We shall not be liable for any loss of profits, data, use, goodwill, or other intangible losses

13. Termination

13.1 By you

You may terminate your account at any time by providing 30 days' written notice. Termination does not entitle you to a refund of fees already paid.

13.2 By us

We may terminate or suspend your account immediately if:

  • You breach these Terms
  • You fail to pay fees when due
  • We are required to do so by law
  • Continued provision of service would violate applicable laws

13.3 Effect of termination

Upon termination, your right to use the service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

14. Changes to terms

We reserve the right to modify these Terms at any time. We will provide 30 days' notice of material changes via email or through the service. Your continued use after changes constitutes acceptance of the modified Terms.

15. Governing law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Dispute resolution

We prefer to resolve disputes amicably. Before initiating legal proceedings, you agree to attempt to resolve any dispute through good faith negotiation. If resolution cannot be reached within 30 days, either party may pursue other remedies.

17. General provisions

17.1 Entire agreement

These Terms constitute the entire agreement between you and Connect Studio NW Ltd regarding the use of our service.

17.2 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

17.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
